Public offer
This document is a public offer to enter into a services agreement for design work under the commercial name Tsedra.
1. Parties
1.1. Provider — the party doing business as Tsedra, email: hello@tsedra.com, Telegram: @nickshaoff, Moscow, Russia.
1.2. Client — any person who accepts this offer by requesting and paying for services.
2. Subject
2.1. The Provider delivers design services (branding, web, UI/UX, motion, and related work) as agreed in a brief, proposal, or message thread.
3. Acceptance
3.1. Payment of the invoice / prepayment, or written confirmation of the proposal, constitutes acceptance of this offer.
4. Payment
4.1. Unless otherwise agreed, work starts after 100% prepayment.
4.2. Fees, scope, and timeline are stated in the proposal.
5. Delivery & revisions
5.1. Deliverables and revision rounds are defined per project. Extra scope may require a new estimate.
6. IP
6.1. After full payment, agreed rights to final deliverables transfer to the Client as stated in the proposal. Drafts and unused concepts may remain with the Provider.
7. Confidentiality
7.1. Both parties keep confidential information private. An NDA may be signed on request.
8. Liability
8.1. Liability is limited to the fees paid for the relevant project, except where mandatory law says otherwise.
